TERMS OF USE

1. Acceptance of Terms

By accessing or using the services, website, platform, or any related applications (collectively, the “Services”) provided by Quantara Capital LLC(“Quantara Capital,” “Company,” “we,” “us,” or “our”), you (“User,” “you,” or “your”) agree to be bound by these Terms of Use (“Terms”). If you do not agree to these Terms, you must not access or use our Services.

These Terms constitute a legally binding agreement between you and Quantara Capital. Please read them carefully.

2. Description of Services

Quantara Capital provides a technology platform that enables users to connect existing Interactive Brokers brokerage accounts to automated trading strategies. Our platform utilizes technology licensed from and white-labeled through Collective2, LLC (“Collective2”).

Important Clarifications:

  • Quantara Capital is a technology provider and is not a registered investment adviser, broker-dealer, or commodity trading advisor.

  • We do not provide investment advice, recommendations, or personalized financial guidance.

  • We do not have custody of user funds or securities. All assets remain in the user’s Interactive Brokers account at all times.

  • We do not execute trades. Trades are executed through Interactive Brokers based on signals from strategies selected by the user.

  • Use of our Services is also subject to Collective2’s terms and conditions.

3. Eligibility

To use our Services, you must:

  • Be at least 18 years of age (or the age of majority in your jurisdiction).

  • Have the legal capacity to enter into binding contracts.

  • Maintain a valid, funded Interactive Brokers account.

  • Not be prohibited from using such services under applicable law.

  • Not reside in a jurisdiction where use of the Services would violate local law.

By using our Services, you represent and warrant that you meet all eligibility requirements.

4. Account Registration and Security

4.1 Account Creation

You must provide accurate, complete, and current information when creating an account and keep such information updated.

4.2 Account Security

You are solely responsible for maintaining the confidentiality of your credentials and all activity occurring under your account. You agree to use strong passwords, not share credentials, and notify us immediately of unauthorized access.

4.3 API Connections

By connecting your Interactive Brokers account, you authorize automated trade signals. You acknowledge that connection failures, delays, or errors may occur and may impact execution.

5. Risk Disclosures

5.1 Trading Risks

Trading securities, options, futures, and other financial instruments involves substantial risk of loss and is not suitable for all investors.

5.2 Automated Trading Risks

Risks include technology failures, execution delays, strategy limitations, over-optimization, and adverse market conditions.

5.3 No Guarantee of Results

We make no representations regarding profitability, performance, or accuracy of signals. You may lose some or all invested capital.

5.4 Third-Party Dependencies

We are not responsible for acts or omissions of Interactive Brokers, Collective2, or other third parties.

6. Fees and Payment

6.1 Subscription Fees

Fees are disclosed on our website and billed in U.S. dollars unless otherwise stated.

6.2 Billing

You authorize recurring charges to your payment method until cancellation.

6.3 Refunds

All sales are final. No refunds will be issued except where required by law. Any consideration of refunds is entirely discretionary and should not be expected.

6.4 Third-Party Fees

You are responsible for all third-party fees incurred through Interactive Brokers, Collective2, or others.

7. User Conduct

You agree not to engage in unlawful activity, unauthorized access, service disruption, reverse engineering, malware distribution, resale, misrepresentation, or unauthorized automated access.

8. Intellectual Property

All content and technology are owned by Quantara Capital, Collective2, or licensors and protected by law. You are granted a limited, revocable, non-transferable license for personal, non-commercial use only.

9. Disclaimers

Services are provided “as is” and “as available” without warranties. Nothing constitutes investment, legal, or tax advice. We do not endorse third-party content.

10. Limitation of Liability

To the maximum extent permitted by law, Quantara Capital shall not be liable for indirect, incidental, consequential, or punitive damages, including trading losses or lost profits. Total liability shall not exceed the greater of fees paid in the prior 12 months or $100.

11. Indemnification

You agree to indemnify and hold harmless Quantara Capital and its affiliates from claims arising out of your use of the Services, violations of these Terms, applicable law, or trading decisions.

12. Dispute Resolution

These Terms are governed by Nevada law. Disputes shall be resolved by binding arbitration in Las Vegas, Nevada. Class actions are waived. Injunctive relief for IP protection is permitted.

13. Termination

You may terminate at any time. Quantara Capital may suspend or terminate access at its discretion. Upon termination, access immediately ceases. Sections relating to risk, liability, indemnification, and dispute resolution survive.

14. General Provisions

These Terms constitute the entire agreement. If any provision is unenforceable, remaining provisions remain in effect. Rights may be assigned by Quantara Capital without restriction. Terms may be modified at any time with notice via posting.

15. Acknowledgment

By using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Use.
